UseRight was developed for professionals who wish to improve the process of managing usage rights & buyouts between Rights Users, Rights Holders and Agencies. Typical examples of Rights Holders are (Voice) Actors , models, influencers, writers and photographers. Rights Users may be brand advertisers, media companies or publishers. Agencies can be advertising or marketing agencies, model or influencer agencies, or literary agents.

Of course! We offer standard templates which cover most needs. But if your business requires specific contracts, you can upload and store them in UseRight.

UseRight was developed using the highest security standards. All data is stored in EU servers, on the AWS platform. All communication is encrypted. Personal data is not communicated outside of UseRight, making the application GDPR-proof. Access is secure, including 2-factor authentication.

Yes, we do! Support is included in our paid license plans. Additional support is available as an upgrade.

We are still optimizing UseRight for mobile devices. Meanwhile, please use this application from a desktop or notebook.

TERMS OF USE

General

In these Terms of Use, the the following terms shall have the following meanings, where the singular shall also be meant to include the plural:

Account
means a sub account of a Main Account, that allows its user to access the Platform and make use of the Services;
Account Owner
means the representative of a Licensee that operates the Main Account;
Account User
means a representative of a Licensee that operates and Account;
Term
means a specific intellectual property right an Account Owner or Account User and/or an Agency and a Rights Holder have agreed a right to use on;
License Agreement
means the license agreement by and between UseRight and the Licensee with regards to the Platform;
Licensee
means the person that has entered into a license agreement with UseRight for the Platform;
Main Account
means the main account of a Licensee to access the Platform, which may consist – depending on the form of license subscribed for by the Licensee – of multiple Accounts;
Platform
means a software platform that allows holders of intellectual property rights and authorized users of such rights to manage the use of intellectual property rights;
Rights Holder
means the holder of intellectual property rights that has subscribed to the Platform;
Services
means the functionalities offered by the Platform from time to time, including but not limited to the storage of license or usage agreements, the creation of usage agreements, the submission of requests for certain intellectual property rights and the submission of quotes;
Terms of Use
means these terms of use;
UseRight
means UseRight B.V. a company incorporated and existing under the laws of the Netherlands, having its offices at Apollolaan 151, 1077 AR in Amsterdam, the Netherlands, registered with the Dutch Chamber of Commerce under the number 78318211;

These Terms of Use are applicable to any and all use of the Platform and/or the Services. By creating and/or accessing an Account, Account Owners, respectively Account Users agree to be bound by these Terms of Use.

Accounts

Each Licensee shall have the opportunity to appoint one (1) of its representatives as Account Owner.

An Account Owner shall upon appointment be provided with log in credentials and a randomly generated password. Upon first log in to the Platform, the Account Owner will be required to amend the password and submit a mobile phone number for the setup of a 2-factor authentication for access to the Main Account.

Following appointment as Account Owner, the Account Owner shall at all times have the opportunity to appoint another representative as (replacing) Account Owner.

An Account Owner shall have the opportunity to create Accounts for Account Users. The number of Accounts an Account Owner may create shall depend on the form of license subscribed for by the Licensee.

The Account Owner shall at all times be able to cancel an Account or to transfer an Account of an individual Account User to another person.

Account Owners and Account Users are responsible to safeguard their password and other log in credentials. Account Owners and/or Account Users must notify UseRight immediately upon becoming aware of any breach of security or unauthorized use of their Account.

Upon creation of an Account, the Account Owner or Account User needs to provide UseRight with certain information that is accurate, complete and current at all times. If such information in respect of a Account Owner or Account User changes at any time, the Account Owner or Account User should update its Account to reflect those changes.

Each Account Owner and Account User acknowledge and agree that they are considered to be fully aware of the rights and obligations of the Licensee pursuant to the License Agreement.

Request for the provision of certain intellectual property rights

An Account Owner and Account User shall have the opportunity to invite other parties that have subscribed to the Platform to provide certain intellectual property rights such other party owns. Apart from a request to a party that has subscribed to the Platform, the Account Owner or Account User may also invite a third party to subscribe to the Platform.

Any and all requests for the provision of certain intellectual property rights, shall only be requests for intellectual property rights that are not illegal, racist, inciting to hatred or violence or (otherwise) offensive and none of such rights shall be the right(s) of minors.

Following a request as referred to in clause 11, a Rights Holder may provide a fee quote for a right to use the requested intellectual property rights.

Agreements for the use of intellectual property rights

In the event that an Account Owner or Account User and a Rights Holder reach an agreement on the scope of use and fee for use of certain intellectual property rights, their agreement may be laid down in a written agreement that is either uploaded by one of them or created via the Platform.

Any use of the possibility to create an agreement via the Platform shall in all events be fully for the own risk of the Account Owner and Account User. The possibility to create the agreement is a service of UseRight to the Account Owner and Account User and does not include any legal or other advice on the same. In all events the Account Owner and Account User are advised to seek legal advice on the content and scope of the agreement for the right to use certain intellectual property rights, prior to entering into the same.

Ownership of Assets

Once an agreement has been reached via the Platform or otherwise on the use of certain intellectual property rights, such intellectual property rights shall constitute as an Asset of an Account Owner or Account User. The Account Owner or Account User that has managed the relevant Asset as from the commencement shall be marked as the owner of the relevant Asset

An Account User who is the owner of an Asset, may transfer such ownership to another Account User or to the Account Owner. At the same time, the Account Owner will be entitled to transfer the ownership of an Asset from a Account User to another Account User or to the Account Owner itself.

Once an agreement for the use of intellectual property rights has been created via or uploaded to the Platform, the Platform offers the possibility to set up various reminders, for instance for approvals and/or extension of the relevant agreement.

Data processing / privacy

UseRight will process personal data of the Account Owner and Account Users only to the extent that is necessary for fulfillment of the License Agreement or as otherwise required by a provision of law and otherwise in accordance with these Terms of Use. Personal data will not be saved, stored or processed in any other way by UseRight for other purposes.

UseRight processes your personal data in order to offer you all our services, to improve our services and to make personal contact with you when necessary. UseRight processes the following personal data: First name, Last name, E-mail address, IP address.

UseRight processes the personal data as referred to here above exclusively on the basis of the following grounds as described in Article 6 of the GDPR:

  1. a legal obligation;
  2. the fulfillment of an agreement; or
  3. your given consent.

Usage of the Platform means you agree with the processing of personal data by UseRight. It is possible to revoke your given consent. However, if you revoke your given consent, it is not possible to use the Platform.

UseRight takes adequate technical and organizational measures in order to protect your personal data.

UseRight may share your personal data with third parties. This may include, but is not limited to third party suppliers in connection with the processing of your personal data for the purposes described in this Privacy Statement, such as IT providers, communication service providers or other suppliers to whom we outsource certain support services.

UseRight will only transfer your personal data to the above mentioned third parties for the purposes and on the legal grounds stated in this Privacy Statement. UseRight verifies that these third parties take equal security measures.

UseRight retains your personal data only for as long as is needed for the aforementioned purposes or obligation by law.

To advertise our services, UseRight may use Social Media such as but not limited to LinkedIn or Facebook. These media may process your personal data. UseRight is not responsible for the processing of personal data by these media.

You have the following rights regarding your personal data

  1. transparency and information;
  2. access to your personal data;
  3. rectification or completion;
  4. objection;
  5. data portability;
  6. erasure of your personal data;
  7. restriction of processing of your personal data; and
  8. revocation of given consent.

Any request to information, access, rectification, completion, portability, erasure, restriction of processing or objection to the processing of your personal data can be send to UseRight, using the contact information below. You will receive a response within four (4) weeks.

There might be circumstances under which UseRight is legally not allowed to meet your request. In such case you will be notified within four (4) weeks.

In order to validate your personality, please attach a photocopy of your passport (without photo and social security number) to your request of objection letter. UseRight only takes into account requests regarding the personal data of the requestor.

We use “session cookies” to track authorized access and analyze visits to the UseRight application

Miscellaneous

If any provision of these Terms of Use is held to be invalid, illegal or unenforceable for any reason or in any respect whatsoever, such invalidity, illegality or unenforceability shall not affect the other provisions of these Terms of Use.

These Terms of Use are governed exclusively by Dutch law.

All disputes arising from or connected with these Terms of Use will be brought before the competent court in Amsterdam, the Netherlands.
